PART III — NARRATIVE

State below in reasonable detail why the Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR or the transition report portion thereof could not be filed within the prescribed time period.

ImmunoCellular Therapeutics, Ltd. (the “Company”) was unable to complete its report on Form 10-Q for the period ended September 30, 2017 (the “Quarterly Report”) prior to the filing deadline for the Quarterly Report on November 14, 2017, as the result of the need to complete final quarterly closing procedures, financial statement preparation and disclosures in light of its recently completed public offering of convertible preferred stock and related warrants to purchase convertible preferred stock, which closed on July 20, 2017. As a consequence of the efforts dedicated to the public offering, the Company could not finalize its financial statement preparation and disclosures for the period ended September 30, 2017 without unreasonable effort and expense.

The Company currently anticipates filing its Quarterly Report on Form 10-Q within the period permitted by the rule.

The Company expects to report in the Quarterly Report the following operating results for the three months ended September 30, 2017:

Net Loss. The Company expects to report a net loss of $3.9 million for the three months ended September 30, 2017, compared to $4.8 million for the three months ended September 30, 2016. The decrease in net loss is primarily due to a decrease in research and development expenses related to the suspension of the Company’s phase 3 registration trial of ICT-107.

Total Comprehensive Loss. The Company expects to report a total comprehensive loss of $6.1 million for the three months ended September 30, 2017, compared to $4.8 million for the three months ended September 30, 2016. The comprehensive loss for the three months ended September 30, 2017, includes the net loss from above and a deemed dividend and the accretion of original issue discount on the convertible preferred stock issued as part of the July 2017 financing. There were no corresponding charges during the three months ended September 30, 2016.

Revenues. The Company expects to report that it did not have any revenue during the three months ended September 30, 2017 and the three months ended September 30, 2016.

Expenses. The Company expects to report research and development expenses for the three months ended September 30, 2017 of $2.8 million, compared to $4.6 million for the three months ended September 30, 2016. The decrease is primarily due to decreased expenses related to the suspension of the Company’s phase 3 registration trial of ICT-107. The Company also expects to report general and administrative expenses for the three months ended September 30, 2017 of $1.1 million, compared to $900,000 for the three months ended September 30, 2016.
